Terms of Service

These Terms govern use of https://www.propersend.pl, the beta waitlist, and — in the future — ProperSend services provided by ZORDON INTELLIGENCE Sp. z o.o.. By using the site or joining the waitlist, you accept these Terms.

1. Definitions

In these Terms:

  • Provider — ZORDON INTELLIGENCE Sp. z o.o., ul. Gdańska 129, 90-063 Łódź, Poland.
  • Site — the website at https://www.propersend.pl.
  • User — anyone using the Site.
  • Waitlist (beta) — the list of users awaiting beta access to ProperSend.
  • ProperSend — the planned B2B SaaS platform for lead generation, cold email, and sales automation.
  • Account — an individual ProperSend user account (once the paid service launches).

2. Scope

These Terms apply to the Site, the Waitlist, and — after launch — use of ProperSend, unless separate commercial agreements apply.

Educational content (cold email course) is informational only and is not legal advice.

Implementation terms, SLA, and pricing may be set in a separate contract or commercial offer.

3. Waitlist (beta)

Joining the Waitlist requires an email address and consent via checkbox. Consent is voluntary but required to sign up.

We may refuse or remove entries in case of abuse, false data, or Terms violations.

Beta participation does not guarantee access by a specific date or feature parity with a future commercial release.

4. Site usage rules

You agree to:

  • use the Site lawfully and in good faith;
  • not disrupt the Site (attacks, abusive scraping, security bypasses);
  • not submit false data in forms;
  • respect our and third parties’ intellectual property.

5. ProperSend acceptable use (AUP)

Once ProperSend is available, you must use it in compliance with applicable law, including data protection, telecommunications, and anti-spam rules.

Prohibited uses include unsolicited bulk email without a legal basis, purchased lists without consent, impersonation, and illegal or misleading content.

We may suspend or terminate access if the AUP is violated or delivery infrastructure is at risk.

6. Telecommunications law (PKE) and anti-spam

Customers using ProperSend for commercial electronic messages must comply with Polish telecommunications law, including Art. 172 (consent for commercial electronic contact) and Art. 398 (sender identification).

B2B contact to work email addresses may be permitted when GDPR and PKE requirements are met — requires individual legal assessment; exercise caution with sole traders (CEIDG) and generic addresses such as office@.

ProperSend may enforce in the product: sender identification, opt-out/unsubscribe links, suppression list sync, and sending blocks without confirmed legal basis on the customer side.

7. Intellectual property

The Site, ProperSend brand, course content, graphics, code, and marketing materials are protected by copyright and belong to the Provider or its licensors.

You receive a non-exclusive licence to use the Site for personal or business purposes as permitted here. Copying, modifying, or reselling content without permission is prohibited.

8. Liability

The Site and beta content are provided “as is”. We strive for uptime but do not guarantee uninterrupted operation.

To the extent permitted by law, we are not liable for lost profits, indirect damages, or decisions based on educational content.

Liability towards business customers may be further limited in a separate SaaS agreement.

9. Data protection (GDPR)

B2B customers using ProperSend as controllers of prospect data must comply with GDPR, including a legal basis for contact and Art. 14 notice (template: /klauzula-informacyjna-art14).

ProperSend processes platform data as processor under our DPA (/umowa-powierzenia). Subprocessors: /subprocesorzy.

Customers remain responsible for message content, recipient lists, legal bases, and data subject requests for data they upload.

10. Product data sources

Company data may come from public registers (KRS, CEIDG, REGON), official websites, public business profiles, and customer imports.

We do not guarantee completeness or freshness of register data. Customers are responsible for lawful use in outbound campaigns.

11. Payments and subscriptions (once SaaS launches)

Commercial pricing and billing cycles will be published on the Site or in a commercial offer.

Subscriptions renew automatically unless cancelled before the billing period ends.

12. Suspension and sanctions

We may suspend accounts, halt sending, or terminate agreements immediately for material breaches.

For AUP violations we may withhold refunds for unused periods on the customer side — without prejudice to mandatory consumer rights, including withdrawal from distance contracts and proportional refunds for unperformed services.

  • AUP or anti-spam violations;
  • recipient or provider complaints affecting domain/IP reputation;
  • false registration data or limit bypass;
  • non-payment (once billing is live).

13. Complaints and contact

Complaints about the Site, Waitlist, or paid services: hello@propersend.pl or /zwroty-reklamacje.

We aim to respond within 14 business days unless mandatory law requires otherwise.

14. Changes

We may update these Terms for legal, product, or security reasons. Material changes will be published on the Site.

At SaaS account registration we record the Terms version (2026-06-13-v1) and acceptance timestamp.

Continued use after changes take effect constitutes acceptance unless separate consent is required by law.

15. Governing law

These Terms are governed by Polish law. Disputes shall be resolved by the court competent for the Provider’s seat, subject to mandatory consumer protection rules.
